Contestant Indemnity Clause
INTELLECTUAL PROPERTY INFRINGEMENT INDEMNITY CLAUSE: BY CLICKING “YES” . YOU AGREE THAT YOU HAVE BECOME A CONTESTANT IN THE ULTIMA STUDIOS “NEXT AFROBEATSS STAR” AND THE TERMS BELOW DO APPLY TO YOU IN ITS ENTIRETY:
1. Representation and Warranty
The Contestant represents and warrants that the submitted recorded music ("Work") is an original creation, does not infringe upon the intellectual property rights of any third party, and does not violate any applicable laws or regulations.
2. Indemnification
The Contestant agrees to indemnify, defend, and hold harmless [Your Organization] and its affiliates, officers, directors, employees, agents, and representatives (collectively referred to as "Indemnified Parties") from and against any and all claims, demands, actions, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any third-party claim that the Work infringes upon or violates any intellectual property right or other right of any third party.
3. Notification
In the event that the Contestant becomes aware of any potential or actual claim, demand, or action that may give rise to indemnification under this clause, the Contestant shall promptly notify ULTIMA STUDIOS VIA EMAIL nextafrobeatsstar@ultima.ng in writing, providing all relevant details and cooperating fully in the defense of such claim.
4. Defense and Settlement
ULTIMA STUDIOS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the Contestant. The Contestant shall not settle any claim without the prior written consent of ULTIMA STUDIOS which shall not be unreasonably withheld.
5. Mitigation
The Contestant agrees to take all reasonable steps necessary to mitigate or minimize any potential damages or losses incurred by the Indemnified Parties.
6. Governing Law
This clause shall be governed by and construed in accordance with the laws of The Federal Republic of Nigeria and any disputes arising under or in connection with this clause shall be subject to the exclusive jurisdiction of the courts located within Nigeria
